Initial Fees and Licensing Costs in Illinois

If you're going to operate your business in Illinois you may incur some initial start up costs and annual fees depending on the type of entity you operate your business as — for example, are you a corporation, a partnership or a sole proprietor? The following list of fees are what you can expect to pay in Illinois:

Type of Document to Be Filed Fee
articles of incorporation $150
initial franchise tax 0.15% is charged on paid in capital with a minimum payment requirement of $25
foreign corporations: certificate of authority $150
limited liability company: articles of organization or admission to transact business by foreign LLCs $500 due at the time the LLC is created or admitted
limited liability company: application to reserve a name $300
limited partnership: certificate of limited partnership (domestic) or application to conduct business (foreign) $150

Illinois also requires that you obtain a business license and pay a licensing fee based on the nature of your business. For this reason, we recommend that you check with the state to make sure you are complying with the licensing requirements, if there are any, for your particular business.
