If you're going to operate your business in Nebraska, when you start up you're likely to incur filing fees and licensing fees depending on the type of business you run and your business form (corporation, sole proprietorship, partnership or limited liability company (LLC)).

Corporations. If you're doing business as a domestic corporation (a corporation incorporated in Nebraska), you will be subject to various fees when you start up.

Domestic corporations pay the following fees based on the amount of authorized capital stock (the total amount of stock authorized for issue by a corporation) to the Secretary of State. These fees are for filing articles of incorporation, association, or consolidation:

Authorized Capital Stock Fee
Up to $10,000 $60
Over $10,000 but not over $25,000 $100
Over $25,000 but not over $50,000 $150
Over $50,000 but not over $75,000 $225
Over $75,000 but not over $100,000 $300
Over $100,000 $300 plus $3 per $1,000
over $100,000

In addition, the following filing requirements and payments must be paid, when applicable, by domestic corporations to the Nebraska Secretary of State:

Document Fee*
Amendment of articles of incorporation $25
Articles of merger or share exchange $25
Certificate of administrative dissolution No fee
Articles of revocation of dissolution $25
*Plus a recording fee

In addition to these fees, a recording fee of $5 per page will be charged.

If you're doing business as a foreign corporation (a corporation incorporated outside of Nebraska), you will be subject to initial fees when you start up. The following are the filing requirements and payments by foreign corporations to the Nebraska Secretary of State:

Document Fee*
Application for a certificate of authority $130
Amended application for a certificate of authority $25
Application for a certificate of withdrawal $25
*Plus a recording fee

In addition to these fees, a recording fee of $5 per page will be charged.

Limited liability companies (LLCs). If your company is either a domestic or foreign limited liability company (LLC), you must file documents with the Nebraska Secretary of State. If you're a domestic LLC, you must file articles of organization, along with a $110 fee, to the Nebraska Secretary of State. If you're a foreign LLC, you must file an application for a certificate of authority, along with a $110 fee, to the Nebraska Secretary of State.

Business licenses and fees. Nebraska requires that you obtain a license and pay a fee if you are operating certain types of businesses in the state. Be sure to check with the state to make sure you are complying with the license requirements for your particular profession.
