Initial Fees and Licenses in Nevada

If you're going to operate your business in Nevada, when you start up you're likely to incur filing fees and licensing fees depending on the type of business you run and your business form (corporation, sole proprietorship, partnership, or limited liability company (LLC)).

Corporations. If you're doing business as a domestic corporation (a corporation incorporated in Nevada) or a foreign corporation (a corporation incorporated outside of Nevada), you will be subject to various fees when you start up. The following fees are payable at the time of filing your articles of incorporation to the Nevada Secretary of State. The fee is based on the amount of your authorized capital stock. The maximum fee is $25,000 for an original filing of articles of incorporation or subsequent filing of any instrument authorizing an increase in stock. No par stock is valued at $1.

In addition to the above fees, the state of Nevada charges the following fees for the various required documents. Whenever a document affects the amount of authorized stock, you must pay an additional fee according to the above fee schedule.

Articles of merger/exchange $350
Certificate/articles of dissolution $75

Limited liability companies (LLCs). If your company is either a domestic or foreign limited liability company (LLC), you must file documents with the Nevada Secretary of State. If your company is a domestic LLC, you must deliver articles of organization along with a $75 fee to the Nevada Secretary of State. If your company is a foreign LLC, you must register as a foreign LLC and also pay a fee of $75 to the Nevada Secretary of State.

Business licenses and fees. Nevada imposes an annual $100 general state business license fee on all businesses doing business in Nevada. Businesses required to obtain a business license must also register for use tax.

Nevada requires that you obtain a license and pay a fee if you are operating certain types of businesses in the state. Be sure to check with the state to make sure you are complying with the license requirements for your particular profession.
